Terms and Conditions

These terms apply to purchase orders and quotations for custom party supplies manufactured by Yiwu Joyline Party Supply Co., Ltd. ("Joyline," "we"). By placing an order, you agree to these terms. Specific terms in your purchase order or quotation take precedence over these general terms.

Quotations

Quotations are valid for 30 days unless otherwise stated. Quotations are based on the specifications, quantities, and requirements provided in your RFQ. Changes to specifications after quotation may affect pricing, MOQ, and lead time. All quotations are in US dollars (USD) unless otherwise agreed.

Orders

A purchase order becomes binding when confirmed in writing by Joyline. Order confirmation includes final specifications, quantity, unit price, total value, payment terms, delivery schedule, and shipping terms (Incoterms). Changes to confirmed orders may incur revision fees and schedule adjustments.

Payment Terms

Standard payment terms: 30% deposit with order confirmation, 70% balance before shipment. Payment is by T/T (wire transfer) to our designated bank account. Alternative payment terms may be arranged for established buyer relationships. All bank charges are the responsibility of the remitter.

Sampling

Physical samples are produced for buyer approval before bulk production on all custom programs. Sample fees are quoted per project and are refundable against the bulk order. Sample lead time is 7–14 days after artwork and specification approval, depending on product type. Additional sample revisions may incur additional fees and extend the timeline.

Production and Delivery

Production lead times are estimates based on current factory loading at the time of order confirmation. We will notify you promptly of any significant schedule changes. Delivery dates are calculated from artwork and sample approval, not from order confirmation. Shipping terms are per agreed Incoterms (typically FOB Ningbo or Shanghai).

Quality

Bulk production quality is measured against the buyer-approved physical sample, not against design files alone. Pre-shipment inspection per AQL 2.5 Level II is standard. Third-party inspection can be arranged at buyer's cost. Quality claims must be submitted within 14 days of goods receipt with photographic evidence.

Intellectual Property

Buyer-provided artwork, designs, logos, and specifications remain the intellectual property of the buyer. Joyline treats all buyer designs as confidential and produces them exclusively for the commissioning buyer. Joyline will not display, share, reproduce, or use buyer designs for other clients without explicit written permission.

Compliance and Testing

Third-party compliance testing (EN71, ASTM F963, REACH, FDA, etc.) is arranged on buyer request at buyer cost unless otherwise agreed. Test reports are provided to the buyer. The buyer is responsible for confirming that products meet all applicable regulations in the destination market. Joyline manufactures to the buyer's stated compliance requirements.

Limitation of Liability

Joyline's liability for any order is limited to the purchase price of that order. Joyline is not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or market loss.

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control including natural disasters, epidemics, government actions, war, terrorism, labor disputes, material shortages, or transportation disruptions.

Governing Law

These terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through negotiation. Unresolved disputes shall be submitted to arbitration in accordance with CIETAC (China International Economic and Trade Arbitration Commission) rules.
